Terms of Service

These Terms define the rules for using ScaleShip's panel, operational tools, applications, integrations, sourcing, payment, and logistics workflows.

1. Agreement

These Terms of Service govern access to and use of ScaleShip, app.scaleship.ai, the customer panel, APIs, order management tools, sourcing, fulfillment, payment, support, and related services provided by COURSELF LIMITED. By accessing or using the service, creating an account, submitting an application, placing or managing orders, or using an integration, you agree to these Terms.

2. Definitions

"Company", "we", "us", or "our" means COURSELF LIMITED. "User", "you", or "customer" means the person or organization accessing or using the service. "Service" means the software, website, panel, APIs, support channels, sourcing, logistics, fulfillment, payment, and operational services made available by us.

3. Accounts and Eligibility

  • You must provide accurate, current, and complete information and keep account credentials secure.
  • You are responsible for all activity under your account, including activity by teammates, staff, contractors, API keys, and connected shops.
  • You must promptly notify us if you suspect unauthorized access or account misuse.
  • We may require identity, business, payment, or store information before enabling or continuing access to certain services.

4. Acceptable Use

  • Use the service only for lawful sourcing, commerce, logistics, support, and related operational purposes.
  • Do not upload unlawful, misleading, harmful, infringing, or privacy-violating content.
  • Do not interfere with the service, bypass security, abuse APIs, scrape the service, overload infrastructure, or attempt unauthorized access.
  • Do not use the service for sanctioned parties, prohibited destinations, fraud, counterfeit goods, illegal goods, dangerous goods without approval, or any item restricted by carriers, customs, marketplaces, payment providers, or law.

5. Orders, Sourcing, and Logistics

You are responsible for product legality, product information, customs declarations, recipient information, delivery addresses, marketplace compliance, taxes, duties, import/export restrictions, and all information you or your connected systems submit. Quotes, delivery estimates, carrier options, customs estimates, and product availability are operational estimates unless expressly confirmed in writing.

Third-party marketplaces, carriers, suppliers, payment providers, customs authorities, and logistics partners may apply their own rules, fees, delays, inspections, holds, refusals, or penalties. We are not responsible for third-party decisions outside our reasonable control.

6. Fees and Payments

Fees, exchange rates, shipping charges, service charges, minimum charges, payment schedules, and refund or cancellation rules may be shown in the panel, invoice, quotation, offer, payment page, written agreement, or other service-specific document. You must pay all amounts due in the currency and method specified.

Payments may be processed by third-party providers. Refunds, credits, chargebacks, failed payments, and disputes may be subject to provider rules and the operational status of the relevant order or shipment.

7. User Content and Data

You retain ownership of content and data you submit, subject to the rights needed for us and our service providers to host, process, transmit, analyze, translate, transform, display, and use that content to provide, secure, support, and improve the service. You confirm that you have the rights and authority needed to submit that content and data.

8. Intellectual Property

The service, software, interface, workflows, documentation, brand assets, logos, and content are owned by COURSELF LIMITED or its licensors. You may not copy, reverse engineer, resell, sublicense, or create derivative works from the service except as allowed by law or by written agreement.

9. Third-Party Services

The service depends on third-party infrastructure, authentication, email, storage, analytics, CRM, AI, payment, supplier, marketplace, and logistics providers. Their services may change, fail, suspend access, reject orders, or impose requirements. We may modify integrations or service availability when needed for security, compliance, reliability, or provider changes.

10. Suspension and Termination

We may suspend, restrict, or terminate access, orders, APIs, or support if you violate these Terms, fail to pay, create legal or security risk, submit inaccurate information, misuse the service, or if required by a provider or authority. You may stop using the service at any time, but outstanding payment, compliance, and dispute obligations continue.

11. Disclaimers

The service is provided on an as-is and as-available basis. To the maximum extent permitted by law, we do not guarantee uninterrupted service, error-free operation, fixed delivery times, supplier availability, customs clearance, marketplace outcomes, payment provider decisions, or specific commercial results.

12. Limitation of Liability

To the maximum extent permitted by law, we and our officers, employees, contractors, affiliates, and providers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, lost profits, lost revenue, data loss, business interruption, marketplace penalties, customs decisions, carrier delays, or third-party failures. Our aggregate liability for claims relating to the service is limited to the amount you paid us for the affected service during the three months before the event giving rise to the claim, unless mandatory law requires otherwise.

13. Indemnity

You agree to indemnify and hold us harmless from claims, losses, penalties, fines, costs, and expenses arising from your products, orders, content, data, marketplace activity, legal compliance, customs declarations, prohibited goods, misuse of the service, breach of these Terms, or violation of third-party rights.

14. Changes

We may update these Terms by publishing a revised version. Changes apply from the stated effective date or, if no date is stated, when published. Continued use of the service after changes means you accept the updated Terms.

15. Governing Law and Contact

Unless mandatory local law requires otherwise, these Terms are governed by the laws applicable to COURSELF LIMITED's place of registration. Courts with jurisdiction over that place will have authority for disputes, without prejudice to mandatory consumer or data protection rights that cannot be waived.
